These Terms & Conditions (“Terms”) govern your use of the United Securities Limited website (the “Site”) and the USL Momentum trading platform (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. About Us

United Securities Limited (“USL”, “we”, “us”) is a stock-brokerage firm registered in Bangladesh, a TREC holder of the Dhaka Stock Exchange (DSE), and a Depository Participant (DP) of the Central Depository Bangladesh Limited (CDBL). USL is regulated by the Bangladesh Securities and Exchange Commission (BSEC).

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under the laws of Bangladesh to open an account or trade through us. Minor BO accounts may be operated only by a legal guardian in accordance with CDBL regulations.

3. Account Opening & KYC

Account opening is subject to satisfactory completion of our Know-Your-Customer (KYC) process, AML/CFT screening, and verification of all documents required by BSEC, BFIU, and CDBL. We may decline or terminate any account at our sole discretion where regulatory or risk requirements are not met.

4. Use of the Services

• You are responsible for keeping your login credentials confidential and for all activity under your account.
• You agree not to use the Services to engage in market manipulation, insider trading, money laundering, or any other conduct prohibited by the Securities and Exchange Ordinance, Anti-Money-Laundering Act, or related Bangladesh law.
• You will not attempt to interfere with the Services, scrape content at scale, reverse-engineer the platform, or bypass authentication.

5. Trade Orders & Execution

Orders placed through the Services are subject to acceptance by USL, the relevant exchange, and applicable circuit limits and risk controls. We may, without prior notice, refuse, cancel, modify, or limit any order in the interest of orderly markets or in compliance with regulatory directives. Execution is on a best-efforts basis at the prevailing market price; we do not guarantee any specific price, fill quantity, or execution latency.

6. Fees, Charges & Settlement

All trades are subject to brokerage commission, exchange and regulatory levies, CDBL charges, and applicable taxes as prescribed from time to time. Settlement follows the cycle published by DSE/CSE. You are responsible for ensuring sufficient cleared funds and securities in your account before placing buy or sell orders respectively.

7. Investment Risk Disclosure

Investment in capital-market securities is subject to market risk. Prices of stocks, bonds, mutual funds, and IPOs may go up or down, and you can lose part or all of your invested capital. Past performance is not indicative of future returns. Research reports, screeners, dashboards, and educational content provided by USL are for informational purposes only and do not constitute personalised investment advice. You should consult a qualified financial adviser and review the relevant offer documents before making any investment decision.

8. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, software, research reports, and the “USL” and “USL Momentum” brands — is owned by United Securities Limited or its licensors and protected by Bangladesh and international copyright and trademark law. You may view and download content for personal, non-commercial use only. Republishing, redistribution, or commercial use without prior written consent is prohibited.

9. Third-Party Links

The Site may contain links to websites operated by regulators, exchanges, or third parties. We do not endorse and are not responsible for the content or practices of those external sites. Visiting them is at your own risk and subject to their own terms and privacy policies.

10. Third-Party Advertisements & Data Sharing

This website does not host third-party advertisements. Should any third-party advertisement be displayed, responsibility for that advertisement rests solely with United Securities Limited as the merchant. Where United Securities Limited shares any customer information with a third party, responsibility for that sharing likewise rests with United Securities Limited as the merchant, in accordance with our Privacy Policy.

11. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, USL disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy of market data, and uninterrupted availability. Market data and screener metrics are sourced from exchanges and third-party providers and may contain delays or errors.

12. Limitation of Liability

To the maximum extent permitted by Bangladesh law, USL and its directors, officers, and employees shall not be liable for any indirect, incidental, consequential, or punitive damages, lost profits, or lost opportunities arising from or relating to your use of the Services, including losses caused by market volatility, exchange halts, network outages, or technical failures outside our reasonable control.

13. Indemnification

You agree to indemnify and hold USL harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of applicable law.

14. Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for breach of these Terms, for regulatory or risk reasons, or where required to comply with a court or regulatory order. You may close your account by following the standard account-closure process and settling all outstanding obligations.

15. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the People’s Republic of Bangladesh. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

16. Changes to These Terms

We may revise these Terms from time to time. The “Last updated” date above reflects the most recent revision. Continued use of the Services after a change constitutes acceptance of the updated Terms.
